These Terms of Service ("Terms") govern your use of inmailengine.com and the services provided by InMail Engine ("we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. If you do not agree, do not use the site or services.
InMail Engine provides done-for-you LinkedIn outreach services, including investor matchmaking, warm-path mapping, message campaigns, and meeting booking. The specific scope, deliverables, and fees for your engagement are set out in your order form or service agreement, which together with these Terms forms the contract between us.
You must be at least 18 years old and using the services on behalf of a business. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any credentials you share with us for authorized campaign purposes.
Fees are as stated in your order form. Unless otherwise agreed in writing, fees are billed in advance, are due on receipt, and are non-refundable except as expressly provided by our guarantee or your service agreement. Late payments may result in suspension of services.
Where offered, our performance guarantee (e.g., "raise up to $1M in the next month — or, for deal-flow engagements, close a minimum of $30k — or 75% back") applies only as described in your written service agreement, including its eligibility conditions and client obligations. Fundraising outcomes depend on factors outside our control, and no specific investment result is promised beyond the express terms of the written guarantee.
You agree to provide accurate materials, respond to booked meetings in good faith, and use the services only for lawful business purposes. You represent that information and content you provide does not infringe third-party rights and that you have authority to authorize outreach conducted on your behalf.
InMail Engine is not a broker-dealer, investment adviser, or placement agent. We do not offer, sell, or solicit securities, and nothing in the services constitutes investment, legal, or tax advice. All investment decisions and securities-law compliance in your fundraise are solely your responsibility.
We retain all rights in our systems, software, data, methods, and materials. You receive a limited, non-exclusive right to use campaign deliverables for your internal business purposes. You retain ownership of materials you provide to us.
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
The services are provided "as is." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular reply rate, meeting count, or fundraising outcome except as expressly stated in a written guarantee.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or lost profits or revenue. Our total liability arising out of the services will not exceed the fees you paid to us in the three (3) months preceding the claim.
Either party may terminate as provided in the service agreement. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive (payment, IP, confidentiality, disclaimers, liability) survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes informally; unresolved disputes will be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction.
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the services after changes means you accept the updated Terms.
